Creator Agreement

• Article 1 Purpose

  The purpose of this Agreement is to confirm the matters agreed between the Individual, Artist, Developer, Company or Production ("the Creator"), and ImaginePlay Inc. ("ImaginePlay") upon the execution of this Agreement.

• Article 2 Details of the Services

  This agreement becomes effective at the point when the Creator register for Creator Registration Form until the Creator terminates its registered status with ImaginePlay themselves or by the management. In connection with the Services, the Creator consigns to ImaginePlay, and ImaginePlay provides, the following services set forth in this Agreement. Services ImaginePlay will provide to the Creator:

  1. Register the Creator's product on ImaginePlay and our distribution partner DLsite.com on behalf of the Creator.
  2. Collect product sales and make payment to the Creator.
  3. ImaginePlay will carry out the following billing and payment services (the "Billing and Payment Services") :
     
     - Serves as sales manager;
     - Submission of sales reports; and
     - Service for collection of sales proceeds;
  
  
  4. ImaginePlay will carry out any other services separately agreed upon between the Creator and ImaginePlay.

• Article 3 Ownership of the Product

  The ownership of the product solely belongs to the Creator, and ImaginePlay only has the right to distribute the product upon permission of the Creator, and ImaginePlay will not modify or edit the content and/or promotional asset for the product without prior permission of the Creator.

• Article 4 Termination of Sales and Distribution

  ImaginePlay may immediately terminate product sales and distribution without giving any notice or demand whatsoever if we find the product:

  1. Contains unethical contents;
  2. Contains illegal contents and expressions;
  3. Other contents which ImaginePlay and its distribution outlets consider unsuitable.

• Article 5 Consultation

  The Creator and ImaginePlay shall settle any matters not provided for in this Agreement or any doubts regarding the interpretation of this Agreement upon consultation in good faith.

• Article 6 Sales Price

  Payment is made within 3 weeks after the 28th of the next month after the closing date of the current month. For Japanese market sales, since yen exchange rate changes every day, we calculate the payment to you based on fixed Japanese Yen. Yen exchange rate on the 28th (sales closing) is used to calculate the actual payment value in dollar, with possible yen fluctuation buffer of 7-10 yen.
  
  Additional 15% on Store Price from DLsite sales is subtracted from your sale as an international distribution management fee (but not from sales on ImaginePlay store).

  • For sales on Japanese store, these prices will be matched by using the latest yen exchange rate.

  Please be advised that the total sales of your product must reach at least $100 in order for us to make a payment to you. If your total product sales did not reach $100 in the current month, the balance is carried over to the next month.

• Article 7 Legal

  ImaginePlay’s distribution partner, DLsite.com’s management company and its server are located in Japan. Therefore, Japanese law is applied to all distribution procedure and accounting method on DLsite.com. Also, 10% of Japanese Sales tax is applied to the sale that is generated on DLsite.com.

• Article 8 Age Requirement

  The main person registering for ImaginePlay distribution service must be at least 18 years old.

• Article 9 Partner Site Product Registration

  By registering as the Creator, by default you agree ImaginePlay and DLsite to register your product(s) on our site with platform technical environment. Royalties and other conditions are the same and sales will be combined on the monthly sales report from ImaginePlay. If the Creator does not wish to register their product(s) other than on ImaginePlay web platform, please contact at [email protected].

• Article 10 Inquiries

  All inquiries (Such as replacing your products, deletion of your product, or issues with payment) should be managed on ImaginePlay Creator admin panel or sent to ImaginePlay support contact. Due to privacy policy, ImaginePlay and DLsite.com can not respond to any inquiry from the 3rd party.

• Article 11 DRM Compatibility

  ImaginePlay DRM is not compatible with video file and .apk file. Please be noted by submitting those products, your product will be distributed as it is without DRM.
